REFUND & CANCELLATION POLICY

This Refund & Cancellation Policy (“Policy”) governs subscription payments made to:
XploroTech Solutions Private Limited (“Company”)
for the use of VENTA Xploro POS (“Software”).
This Policy forms part of the Master Service Agreement.
1. SUBSCRIPTION MODEL
VENTA Xploro POS is offered on a:
- Annual subscription basis
- Or periodic subscription basis (as selected)
All subscription fees are payable in advance.
2. NO REFUND POLICY
All subscription fees are non-refundable except as expressly stated in this Policy.
The Company does not provide refunds for:
- Change of mind
- Non-usage of software
- Business closure
- Staff resignation
- Misunderstanding of features
- Failure to read documentation
- Local technical issues
- Internet failure at Client location
3. REFUNDS IN LIMITED CIRCUMSTANCES
Refunds may only be considered in the following cases:
- Duplicate payment
- Proven billing error by the Company
- Service unavailability exceeding SLA limits (as per SLA credit terms)
All refund requests must be submitted within:
15 days of payment date.
Refunds, if approved, shall be processed within 30 business days.
4. TERMINATION BY CLIENT
Client may discontinue subscription at any time.
However:
- No prorated refund shall be issued.
- Access shall remain available until subscription expiry.
5. TERMINATION BY COMPANY
The Company may suspend or terminate access without refund if:
- Client violates Acceptable Use Policy
- Client engages in fraudulent or illegal activity
- Client misuses the platform for tax evasion
- Client breaches MSA terms
- Payment default occurs
In such cases, no refund shall be granted.
6. AUTO-RENEWAL (If Applicable)
If subscription is set to auto-renew:
- Client authorizes automatic charge before expiry.
- Cancellation must be requested before renewal date.
- Post-renewal charges are non-refundable.
7. IMPLEMENTATION & ONBOARDING FEES
Any:
- Setup charges
- Customization fees
- Integration charges
- Training fees
Are strictly non-refundable once service is rendered.
8. PAYMENT DISPUTES & CHARGEBACKS
If a Client initiates a chargeback without valid basis:
- Access may be suspended.
- Legal recovery action may be initiated.
- Outstanding dues may be pursued.
9. TAXES
All subscription fees are exclusive of applicable GST.
Taxes once paid are non-refundable unless legally required.
10. MODIFICATIONS
The Company may update this Policy.
Continued use constitutes acceptance.

By subscribing to VENTA Xploro POS, the Client acknowledges:
